The term “Bartels Equipment” or “Eqdeals” shall mean, and be the same as Bartels Equipment, L.L.C.
1.Title. Subject to any security interest retained by Bartels Equipment, title to equipment passes to purchaser upon delivery of the equipment, to be made at the location specified on the face of this agreement, at which time all risk of loss shall pass to purchaser.
3.Manufacturer’s Documentation. Prior to placing the equipment in service, it is the purchaser’s responsibility to contact the manufacturer for documentation regarding the use and maintenance of the equipment, and to ensure that the equipment meets the manufacturer’s maintenance and operating requirements, as well as all safety requirements.
The purchaser hereby waives, releases and renounces in favor of Bartels Equipment all rights claims and remedies, in tort or otherwise, arising out of purchaser’s purchase, use, possession, assembly or disassembly of the equipment, as well as (a) for any loss, damage or injury caused by, resulting from, or in any way attributable to the operation of, use or maintenance of, or any defect or failure of the equipment; (b) for any obligation, liability, right, claim or remedy for loss of or damage to the equipment; (c) for loss of use, revenue, or profit with respect to the equipment; (d) for any liability of Bartels Equipment to any third party; or (e) for any other direct, indirect, special, incidental or consequential damages, including strict liability in tort. The purchaser agrees to indemnify, defend, and hold Bartels Equipment harmless including costs of investigation and legal defense from any claim or demand, actions or causes of action asserted against it arising out of the obligations, liabilities, rights, claims or remedies waived, released and renounced, as well as any other of the purchaser’s obligations under this agreement.
